SKADDEN ARPS SLATE MEAGHER & FLOM

Comment: This office is highly recommended in Frankfurt. Growth on a partner level has stalled at Skadden and some competitors had supposed that the US firm would play only a supporting role in multijurisdictional transactions, but the relatively strong growth on the associate level and the track record in M&A, finance and capital markets shows that it would be unwise to write them off too soon. Horbach is well-integrated into the Skadden network (the German corporate practice is more centered on Munich), while the capital markets team regularly advises on IPOs and secondary offerings, frequently exploiting opportunities in Europe.
Recommended: Dr. Matthias Horbach (M&A), Dr. Stephan Hutter, Dr. Katja Kaulamo (both capital markets law), Dr. Johannes Kremer (financing), as counsel: Dr. Holger Hofmeister (M&A).
Practice: Clear focus on ?debt issues, ?equity issues and IPOs, ?commercial litigation and liability and ?bank lending and acquisition finance. Also private equity and venture capital, ?corporate, transactions ( ?M&A) incl. ?tax. (8 partners, 6 counsel, 19 associates)
Clients: ?? M&A: IDEX Corp on acquisition of SFC Koenig; KAP on public takeover by Carlyle. Private equity: transactions for Halder, TA Associate, Summit Partners. Litigation: UniCredit on court cases with 3 former board member over dividend stripping (“cum-ex” trade).
