SKADDEN ARPS SLATE MEAGHER & FLOM

Comment: Recommended corporate practice, where Mayer’s work on the interface between ?compliance investigations and corporate dominated once again. He has carved out a very good reputation in this segment and is regarded as one of the pioneers, with excellent contacts and a strong track record for advice to supervisory and executive boards. The firm’s expertise in pure stock corporation law was demonstrated with the advice to a supervisory board in the most illustrious public takeover of the year: the Bain/Cinven bid for Stada. The loss of Dr. Lutz Zimmer, who left the firm in August 2017, was a bitter blow, however.
Strengths: Takeover law, strong compliance practice. Outstanding for industrial clients in the US.
Recommended: Dr. Bernd Mayer, Dr. Matthias Horbach.
Practice: Predominantly transaction-related advice (post-M&A disputes) but much ?compliance work. Also highly active for investment banks. (7 partners, 3 counsel, 13 associates)
Clients: ?? UniCredit on internal review for supervisory board on dividend stripping (“cum-ex”) trades; Stada Arzneimittel supervisory board on public takeover by Bain/Cinven; executive of German association due to fraud allegations against former chairman; InterActiveCorp on public takeover bid for MyHammer; KAP Beteiligungen on public takeover by Carlyle.
