General Terms and Conditions (GTC)
JUVE Verlag für juristische Information GmbH – Sale of the digital Luxembourg Legal Market Report („Fiat Lux – Shedding Light on Luxembourg’s Legal Market“)
Note: The following is a non-binding English translation for convenience only. The authoritative and legally binding version of these General Terms and Conditions is the German version. This English translation has no legal effect. In the event of any discrepancy between the two versions, the German version shall prevail.
Section 1 Scope and Provider
(1) These General Terms and Conditions (hereinafter „GTC“) apply to all contracts for the acquisition of the digital report specified in more detail in Section 2 (hereinafter „Report“) concluded via the landingpage with
JUVE Verlag für juristische Information GmbH
Sachsenring 6, 50677 Cologne, Germany
Managing Directors: Geertje de Sousa, Jörn Poppelbaum
Commercial Register: HRB 29593, Local Court (Amtsgericht) of Cologne
VAT ID No.: DE 191332749
(hereinafter „Provider“).
(2) The Provider’s offer is directed exclusively at entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), at legal persons under public law or at special funds under public law (hereinafter „Customer“). Contracts with consumers within the meaning of Section 13 BGB are excluded. By placing an order, the Customer confirms that it is acting in the exercise of its commercial or independent professional activity.
(3) These GTC apply exclusively. Conflicting, deviating or supplementary terms and conditions of the Customer shall not become part of the contract unless the Provider has expressly consented to their application in text form. This shall also apply where the Provider renders performance without reservation despite being aware of the Customer’s conflicting terms.
(4) These GTC, in the version applicable at the time of the order, shall also apply to all future transactions with the Customer without the need for renewed incorporation.
Section 2 Subject Matter of the Contract
(1) The subject matter of the contract is the provision, for consideration, of an economic-journalistic report on the Luxembourg legal market in digital form.
(2) The Report is delivered as a PDF file in the English language. Transmission takes place exclusively in electronic form by e-mail. There is no entitlement to the delivery of a physical data carrier or a printed version.
(3) The Report is a journalistic product. It does not constitute legal, tax or investment advice; the content disclaimer set out in Section 7 shall apply in addition.
Section 3 Formation of the Contract
(1) The presentation of the Report on the Provider’s website does not constitute a legally binding offer but a non-binding invitation to the Customer to submit an offer (invitatio ad offerendum).
(2) By placing an order, the customer makes a binding offer to conclude a contract in accordance with these Terms and Conditions. This applies regardless of the type and form of the ordering process (internet, email, fax, telephone, letter, order form, etc.). Where the customer places an order via electronic means (internet, email), the customer will receive an electronic confirmation summarising the details of the order, including the price(s).
The contract is only concluded upon JUVE’s express acceptance of the offer. Unless otherwise stated in the confirmation of receipt, this confirmation shall be deemed to constitute acceptance of the offer.
(3) The Customer must ensure that the e-mail address provided by it is correct and that the receipt of e-mails from the Provider is technically ensured and, in particular, not prevented by filter settings.
Section 4 Delivery
(1) Delivery of the Report is effected by transmitting the PDF file as an attachment to the Order Confirmation pursuant to Section 3(3) to the e-mail address provided by the Customer.
(2) Together with the Report, the invoice is transmitted to the Customer as a further attachment to the same e-mail.
(3) The Provider’s performance is rendered in full upon provision of the Report in electronic form. No obligation to perform beyond the digital provision exists.
Section 5 Prices and Payment
(1) The price for the Report is EUR 4,995.00 net, plus the applicable statutory value added tax, where applicable.
(2) Payment is made exclusively by bank transfer following invoicing to the account stated in the invoice:
GLS Bank Bochum
BIC: GENO DE M1 GLS
IBAN: DE87 4306 0967 4036 5848 00
(3) The payment term is 10 days from receipt of the invoice. Decisive for the timeliness of payment is the unconditional receipt of the invoice amount by the Provider.
(4) Upon expiry of the period stated in paragraph 3, the Customer shall be in default without further reminder. In the event of default, the Provider is entitled to demand default interest at the statutory rate (Section 288(2) BGB) and the flat-rate amount pursuant to Section 288(5) BGB. The assertion of further damage caused by default remains unaffected.
Section 6 Rights of Use and Watermark
(1) Upon full payment of the price, the Provider grants the Customer a non-exclusive, unlimited in time, non-transferable and non-sublicensable right to use the Report for internal purposes. The right of use is limited to the company or organisation for which, or on whose account, the Report was acquired.
(2) Within the authorised organisation, the content of the Report may be shared and used without restriction.
(3) It is permitted to briefly quote individual findings or data points from the Report in internal reports, presentations or e-mails, provided that
a) the quotations are limited in scope,
b) they do not replace the Report in whole or in essential parts, and
c) they include a reference to the Provider as the source.
(4) The disclosure of the Report – in whole or in part – to recipients outside the authorised organisation is prohibited. In particular, making the Report publicly available, publishing it, reselling it and any other transfer to third parties, whether for consideration or free of charge, is prohibited, unless covered by the limited internal right to quote pursuant to paragraph 3.
(5) Each Report contains an individual PDF watermark identifying the purchaser’s organisation. The Customer is not entitled to remove, alter, obscure or circumvent this watermark.
(6) In the event of any breach by the Customer of the provisions of this Section, the Provider’s statutory claims, in particular claims for injunctive relief and damages, remain unaffected.
Section 7 Liability and Content Disclaimer
(1) The Provider shall be liable without limitation for damage resulting from injury to life, body or health based on an intentional or negligent breach of duty by the Provider, its legal representatives or vicarious agents, as well as for damage based on intent or gross negligence.
(2) In the event of a slightly negligent breach of essential contractual obligations (cardinal obligations), the Provider’s liability is limited in amount to the foreseeable damage typical for this type of contract. Essential contractual obligations are those whose fulfilment is a prerequisite for the proper performance of the contract in the first place and on whose compliance the Customer may regularly rely.
(3) In all other respects, the Provider’s liability is excluded to the extent permitted by law. In particular, the Provider is not liable for the slightly negligent breach of non-essential contractual obligations.
(4) Liability under mandatory statutory provisions, in particular under the German Product Liability Act (Produkthaftungsgesetz), as well as in the event of the assumption of a guarantee or the fraudulent concealment of a defect, remains unaffected by the foregoing provisions.
(5) Insofar as the Provider’s liability is excluded or limited, this shall also apply to the personal liability of the Provider’s legal representatives, employees and vicarious agents.
(6) Content Disclaimer: The Report is a journalistic product that has been carefully researched. However, the Provider assumes no warranty for the completeness, accuracy or timeliness of the information contained in the Report. The Report does not constitute legal, tax or investment advice and contains no recommendation for action. The information contained in the Report does not replace the professional advice that may be required in individual cases. Any decisions the Customer makes on the basis of the Report are made at the Customer’s own responsibility.
Section 8 Data Protection
The Provider processes the Customer’s personal data in accordance with the applicable data protection provisions. Details regarding the collection, processing and use of personal data can be found in the Provider’s separate data protection declaration.
Section 9 Final Provisions
(1) The law of the Federal Republic of Germany applies exclusively, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
(2) The exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is Cologne, provided that the Customer is a merchant, a legal person under public law or a special fund under public law. The Provider is also entitled to sue the Customer at the Customer’s general place of jurisdiction. The place of performance is Cologne.
(3) The Customer has a right of set-off only insofar as its counterclaims have been finally and legally established, are undisputed or have been acknowledged by the Provider. The Customer may exercise a right of retention only insofar as its counterclaim is based on the same contractual relationship.
(4) Amendments and additions to this contract as well as ancillary agreements must be made in text form to be effective. This also applies to the waiver of the text form requirement itself.
(5) Should individual provisions of these GTC be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected. In place of the invalid or unenforceable provision, that valid and enforceable provision shall be deemed agreed whose effects come closest to the economic objective pursued by the contracting parties with the invalid or unenforceable provision. The same applies to any gaps in the provisions.
(6) These GTC are provided in a German and an English version. Only the German version is authoritative. The English version serves solely for the sake of clarity and has no legal effect. In the event of any discrepancy between the two versions, the German version shall prevail.
